Contracts - agreements

An email has been issued to contractors who have a previously executed Master Service and Supply Agreement (MSSA) with an Encana corporate entity, and who have performed more than a minimal amount of work in a recent twelve month period for Cenovus-specific business units or assets. Contractors with other types of completed master agreements will be contacted in the near future. Unless otherwise advised, the status of existing Encana master agreements will not be impacted by entering into a new master agreement with Cenovus.

On November 30, 2009, Encana FCCL Ltd, as operator for FCCL Partnership changed its name to Cenovus FCCL Ltd, as operator for FCCL Partnership. Unless otherwise advised, contractors who have previously entered into an agreement with the former entity do not need to take any action regarding their agreement(s).

Cenovus requires that all suppliers, contractors and service providers who would like to provide goods or services to Cenovus enter into one of the company's standard form agreements. These agreements contain the terms and conditions that govern the relationship between Cenovus and the contractor and service provider and include what they must do or provide to Cenovus. Service Orders are used to initiate the procurement of specific goods and/or services, in accordance with the terms and conditions of standard form agreements. Service Orders are referenced within the Master Service and Supply Agreements (MSSA's) and they may be oral or written.

For example, there are specific provisions set for insurance and workers' compensation coverage that contractors and service providers must obtain and provide proof of when requested by Cenovus (usually on an annual basis). There are also specific requirements that pertain to quality standards, and to environment and safety. While the standard form agreements set out Cenovus's minimum requirements, additional provisions may be agreed to that are tailored to specific circumstances.
